3.5 甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6 若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

3.7 乙方如需查核甲方的帐目时，应在接到甲方依上述第3.4款规定开出的书面通知后10天内通知甲方、其具体的查帐内容和程序详见本合同附件四。

第四条 支付条件

4.1 本合同第三条中规定的提成费，甲方将通过_________银行（此处为甲方的业务银行）和_________银行（此处为乙方的业务银行）支付给乙方，支付中使用的货币为_________。

4.2 乙方在收到甲方按第3.4条的规定发出的书面通知后应立即开具有关的单据，甲方在收到乙方出具的下列单据后三十天内。经审核无误，即支付提成费给乙方：

（1）提成费计算单一式四份；

（2）商业发票一式四份；

（3）即期汇票一式一份。

4.3 按本合同规定，如乙方需要向甲方支付罚款或赔偿时，甲方有权从上述支付中直接扣除。

第五条 技术服务和培训

5.1 技术服务

（1）乙方在合同有效期内派遣一名技术专家到甲方，对合同产品的图纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进行技术指导，以使甲方在保证合同产品性能的情况下，能尽快采用国产的材料和元器件，实现合同产品的生产。

（2）乙方在合同有效期内分两次派遣技术人员赴甲方进行技术服务，共_________人日。

（3）第一次技术服务在合同生效后第六个月，乙方派遣技术人员1人赴甲方工厂，提供技术指导_________日。

（4）第二次技术服务在合同产品验收期间。乙方派技术人员1人赴甲方工厂，提供技术服务，时间为_________日。

（5）乙方负担其人员的旅差费。甲方负担由驻地到工厂的交通工具和膳宿费。

5.2 技术培训。

（1）乙方负责对甲方技术人员进行培训，使甲方受训人员掌握合同产品设计，性能测试，加工工艺，装配工艺和质量检查等技能，使甲方能用乙方提供的资料和专门知识，在合同工厂制造出与乙方产品质量相同的产品。乙方应设法安排甲方受训人员参观制造合同产品外购件的生产过程和合同产品的主要用户。

（2）甲方受训人员在协议期间分两批，_________人日以内（翻译除外）赴乙方接受培训。

（3）首批培训时间为合同生效后的第三至第四个月，甲方派技术人员_________人，翻译_________人到乙方工厂接受为期_________人日（每周5天工作日）的培训。内容为合同产品的设计和制造工艺。

第十二条 在本合同有效期限内，甲方应按国家所规定的休假制度，予以乙方符合条件的各类法定节假日，婚丧、生育等带薪休假待遇。

第十三条 乙方患病或非因工负伤，需要停工医疗的，由指定医疗机构出具病情证明，按有关政府规定的或甲、乙双方的约定享受医疗期和医疗期内的病假工资。

第十四条 乙方因工负伤，需要停止工作接受治疗的，实行工伤医疗期。工伤医疗期的时间由指定的治疗医院提出意见，并经本公司住所地劳动能力鉴定委员会确认。医疗期间享受企业职工工伤保险待遇，工资改发工伤津贴。

第十五条 乙方因工伤亡或非因工伤亡等待遇，按有关法律规定及公司有关规定程序执行。

六、规章制度、劳动纪律

第十六条 甲方制订的规章制度(适用全公司员工的)，应经合法程序(职工代表大会)通过并公示。

第十七条 甲方制订的专项规则(适用乙方的)，签订本协议时已详尽告知。

第十八条 乙方对甲方在签订本合同时已有效的各项规章、规则，表示已知并确认无异议。

第十九条 乙方应遵守甲方依法制定的规章制度;严格遵守劳动安全卫生、操作规程及工作范围;爱护甲方的财产，遵守职业道德;积极参加甲方组织的培训，提高职业技能。

第二十条乙方违反劳动纪律，甲方可依据本公司的规章制度，视具体情况给予不同程度的行政纪律处分，直至解除本合同。

七、劳动合同的变更

第二十一条 甲、乙双方经协商达成一致的，可变更本合同条款。

第二十二条 订立本合同时所依据的法律、行政法规、行政规章、上海市有关政策及本公司有关规定发生变化时，甲、乙双方应变更合同相关内容。

第二十三条 订立本合同所依据的客观情况发生重大变化，须变更本合同方可继续履行的，经甲、乙双方协商一致同意，可以变更本合同相关内容。

第二十四条 变更劳动合同，应当采用书面形式。变更后的劳动合同文本由甲乙双方各执一份。

八、劳动合同的解除

第二十五条 甲、乙双方协商一致，本合同可以解除。

第二十六条 有下列情形之一的，乙方可以随时通知甲方解除劳动合同：

1.甲方以暴力、威胁或者非法限制人身自由的手段强迫劳动的;

2.甲方未按照劳动合同约定支付劳动报酬或者提供劳动条件的;

3.在试用期内，乙方必须_____________个工作日前以书面形式告知甲方，并办理交接工作。

第二十七条 试用期满转正后，在合同期限内，除下列情形外乙方可解除劳动合同，但必须提前三十天以书面形式通知甲方;乙方若未提前三十天以书面形式通知甲方的，应赔付甲方一个月实际工资收入。

1.给甲方造成经济损失尚未处理完毕的;

2.被有关国家机关依法审查尚未结案的;

第二十八条 乙方有下列情形之一的，甲方可以随时解除本合同，并不支付任何形式的补偿金：

1.在试用期间被证明不符合录用条件的;

2.严重违反用人单位的规章制度的;(以人力资源部的处罚为依据)

3.严重失职，营私舞弊，给用人单位造成重大损害的;(以人力资源部的处罚为依据)

4.劳动者同时与其他用人单位建立劳动关系，对完成本单位的工作任务造成严重影响，或者经用人单位提出，拒不改正的;

5.以欺诈、胁迫的手段或者乘人之危，使对方在违背真实意思的情况下订立或者变更劳动合同致使劳动合同无效的;乙方提供的简历与实际不符的，乙方提供的学习经历与工作经历与实际不符的，乙方向甲方介绍的其培训经历、荣誉经历或职称、学历有虚假的情形视同为属于上述情形。

6.被依法追究刑事责任的。

第二十九条 有下列情形之一的，甲方提前三十日以书面形式通知乙方或者额外支付乙方一个月工资后，可以解除劳动合同：：

⒈乙方患病或者非因工负伤，医疗期满后，不能从事原工作也不能从事由甲方另行安排的工作的;

⒉乙方不能胜任工作，经过培训或者调整工作岗位后仍不能胜任工作的;

⒊本合同订立时所依据的客观情况发生重大变化，致使原合同无法履行，经甲、乙双方协商，也不能就变更劳动合同达成协议的;

4本合同以及甲方规章制度所规定的其他情形。

第三十条 乙方有下列情形之一的，甲方不得依照本合同第二十九条的规定解除劳动合同：

从事接触职业病危害作业的劳动者未进行离岗前职业健康检查，或者疑似职业病病人在诊断或者医学观察期间的;

(2)在本单位患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;

(3)女职工在孕期、产期、哺乳期的;

(4)在本单位连续工作满十五年，且距法定退休年龄不足五年的;

(5)法律、行政法规规定的其他情形。

九、劳动合同的终止

第三十一条 有下列情形之一的，本合同终止：

⒈本合同期限届满的;

⒉乙方开始依法享受基本养老保险待遇的

⒊乙方死亡，或者被人民法院宣告死亡或者宣告失踪的;

4.甲、乙双方实际已不履行本合同满三个月的;

5.本合同期限届满，但乙方有第三十条约定情形之一的，劳动合同期限顺延至该情形消失。

第三十二条 甲方按法定程序宣告歇业、撤销、解散、破产的，本合同可以终止，但甲方应提前三十日书面通知乙方。

第三十三条 乙方患职业病或因工负伤，被确认为部分丧失劳动能力的，劳动合同期限届满，经双方协商一致，甲方按规定支付伤残就业补助金的，本合同终止;

第三十四条 合同双方若要求续签本合同，应当在本合同期限届满前三十天内，书面通知对方，经双方协商同意，可以续签劳动合同。

十、工作移交

第三十五条 本合同终止之日起30日内或本合同任何一方作出解除合同书面通知之日起30日内，乙方必须履行工作移交义务，按照甲方移交规定程序全面、适当地办理移交。

十一、保密协议

第三十六条 乙方在履行本劳动合同期间或离职后，对本工作掌握和了解的商业秘密有保密义务。乙方故意泄露甲方的商业秘密，由此给甲方造成损失，甲方有权要求赔偿。本条所指的商业秘密，是指不为公众所悉，能甲方带来经济利益、具有实用性并经甲方采取保密措施的技术信息和经营信息。甲方的客户及相关业务信息属于甲方的商业秘密。

十二、违约责任

第三十七条 甲、乙双方任何一方违约，给对方造成经济损失的，须承担违约责任，具体赔偿额根据法律、法规和给对方造成经济损失的程度确定。

第三十八条 乙方未按本合同第三十五条约定履行工作移交义务的，按该项工作移交所需要的期间为计算依据，以乙方解除劳动合同时上一个月的工资收入为标准支付甲方违约金。

第三十九条 在本合同期限内，甲乙双方经协商另签专项协议的(如服务期协议、保密协议等)，该专项协议为本合同附件，专项协议对违约责任的约定与本合同不一致的以该专项协议为准。

十三、劳动争议

第四十条 甲、乙双方履行本合同而发生劳动争议时，适用劳动争议程序。

第四十一条 甲、乙双方发生的劳动争议可先行协商解决，也可自发生争议之日起六十日内向区劳动争议仲裁委员会申请仲裁，不服从仲裁的一方，可自收到仲裁裁决书之日起十五日内向甲方所在地人民法院提出诉讼。

十四、其它约定事项

第四十二条 甲、乙双方确认，在本合同中注明的地址、通讯送达地、联络电话是各类文书、文件送达地。若发生变更的，应当及时告知对方，未告知的，所发生的法律后果由未告知方自行负责。

第四十三条 乙方在本合同中所签署的姓名和笔迹，确认为用于本合同履行期间(包括服务期内)对其他所相关文书的有效签名。

第四十四条 乙方确认在签订本合同时，已了解甲方依法制订的各项规章制度，并愿予以履行。

第四十五条 甲、乙双方确认公司制订的各项规章制度以及公司公告的各类通知，都是本合同的有效组成部分。

第四十六条 甲方已经将公司的基本情况(包括乙方的劳动报酬、劳动条件等)告知乙方，乙方也已经了解该情况，双方在此基础上签订本合同。

第四十七条 本合同未尽事宜由甲、乙双方另行协商处理。

第四十八条 本合同如与国家、本市有关法律、法规相抵触时，按有关法律、法规执行。

第四十九条 本合同一式两份，甲、乙双方各执一份，具有同等法律效力，自签定之日起须经甲乙双方签字盖公章后生效，两份合同具有同等法律效力。

第五十条 本合同签订生效之日起，原劳动合同作废。
