7.2 如果合同产品的技术性能达不到规定的技术标准，双方应友好协商，共同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后，双方签署考核合格证书。

7.3 如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4 经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

7.5 经过第三次考核仍不合格，如系乙方责任，则甲方有权终止合同，并接第九条的规定处理。若系甲方责任，则由双方协商合同进一步执行的问题。

第八条 技术改进

8.1 乙方提供的技术资料，如有不适合甲方生产条件的（如设计标准、原材料、外购配件及共他生产设备等一，乙方有责任帮助甲方修改技术资料，闪加以确认。在不影响合同产品性能情况下，应采用中国产的原材料、配套元器件和设备。

8.2 在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3 改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1 乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

9.2 乙方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时交付。

9.3 如果乙方提供的技术资料不符合第六条规定，乙方必须在收到甲方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给甲方。

9.4 如乙方的技术资料不能按本合同附件二规定的时间交付，乙方则须按下列比例支付罚款给甲方：

（1）迟交1至4周，罚款为合同总价的_________％；

英文补充协议变更的起草

一般来说对于合同的小修改，没有必要重新签订合同，重新签订都是费时费力，也没有必要，所以都用补充协议对原合同进行修改。如果对合同改变重大的话，比如对方想换个姊妹公司来签合同，或者合同条款有多处重大变更，可以说从根本上改变了合同的内容，都可以重新签订合同的。重新签订合同有两种方式。一种是交出所有原合同的原件，然后废除，撕毁都可以，然后再签订新合同；如果对合同原件到底有多少份不清楚的话，保险起见可以先起草一个对原合同的终止协议，然后再签新合同。当然如果为了做到天衣无缝，两个合同之间权责无缝转移的话，我自己使用过这种模式，不用撕毁原合同或者起草终止协议，先在新合同中写终止原合同，一般写新合同生效后原合同立即终止，在新合同未生效前原合同保持有效。然后在新合同上盖上三种章，第一种是原合同的对方的章，第二种是新合同的对方的章，第三种是我方的章，这样操作有个缺点是财务看见合同上有三个章，如果她们不看合同内容的话，有时候容易混淆合同内容。

言归正传，给大家分享一个我起草的比较简单的补充协议。

忘了给大家说了，之前跟一位做国际工程的朋友讨论补充协议和变更怎么翻译，我倾向于合同变更翻译为amendment, 补充协议翻译为addendum.不知道大家什麽意见？不过我自己一般都是不加区分的用amendment的。

WHEREAS: The Buyer and the Seller have a meeting about the L/C and the Contract Agreement in the afternoon of 25 March 20xx, the Seller suggested that the volume of the goods is excessive and deliver them in one time would be hard; the Seller further suggested that the transshipment would not affect the goods quality since the goods are loaded with containers in the whole shipping period, it is very normal for cargoes to be transshipped in international shipment.

评注：再说这个合同要修改，为什么原因修改，也可以把谈判的过程加上。

评注：如果这个补充协议和之前签订的合同有冲突，那么以这个补充协议为准，一般可以不写这一句，因为法律上规定一般是后面的文件有效，不过为了避免争议，也为了保险起见，我个人喜欢加上这一句。

为贯彻落实省纪委《关于组织省直单位党员干部参观湖北省反腐倡廉警示教育基地的通知》(*办发[]号)文件精神，深入学习《廉政准则》及《实施办法》，扎实有效的推进党史研究室党风廉政建设和反腐-败工作，进一步提高党员干部的拒腐防变潜力，我室于5月4日在室领导班子全体成员带领下前往洪山监狱开展警示教育。下方就开展活动的具体状况总结如下：

一、具体做法

(一)精心组织，认真落实。接到(*办发[]号)文件后，室领导高度重视，认真听取纪检部门的工作汇报，研究成立以室主任龚强华同志任组长，副主任胡水华同志任副组长，倪平汶、闫清敏等同志为成员的警示教育活动领导小组，设立领导小组办公室，加强对此次警示教育活动的领导。一是提出党史研究室开展警示教育活动的指导思想及总体要求，结合我室第12个宣教月活动开展好此次警示教育;二是研究制定活动的实施方案;三是召开相关会议具体落实。5月3日召开动员会，对教育活动的资料、对象及时光安排进行了部署，并对活动的开展提出具体要求;5月4日全体干部职工到洪山监狱参加警示教育活动;5月6日各支部召开党员干部会议，学习了《廉政准则》及《实施办法》;5月30日召开党员干部会议，认真总结了警示教育活动工作，分析了警示教育活动存在的问题。

(二)统筹兼顾，合理安排。针对这次警示教育活动政治性强、教育面广，时光紧、任务重的特点，警示教育活动领导小组对本次活动进行了统筹兼顾，科学合理的安排。认真组织党员干部到洪山监狱参加警示教育活动，把开展警示教育与深入学习对照《廉政准则》及《实施办法》结合起来，确保警示教育到达预期效果：一是认真组织参加省纪委安排的统一活动。5月4日当天我室全体干部职工全员参加洪山监狱警示教育;二是集中学习。认真学习《中国共产党领导干部廉洁从政准则》、《中国共产党党内监督条例》、《中国共产党纪律处分条例》，学习的方式以室领导中心组、各支部集中学习为主，并规定活动期间集中学习不少于3次。在规定的时光内，每位党员干部都认真阅读了警示教育材料。为了使警示教育取得好的效果，我们把条例的学习和警示教育结合起来，组织党员干部观看了案件警示教育片;三是召开民-主生活会，认真自查自纠。5月20日，室中心组学习在深入学习和讨论的基础上，召开了一次专题民-主生活会，对领导班子及领导干部的廉洁自律、廉政勤政状况，重点对领导班子及领导干部遵守党的纪律、执行《中国共产党党员领导干部廉洁从政准则》和领导干部廉洁自律的“八个严禁、52个不准”的状况认真进行 了自查自纠。结合本单位的实际，抓装风气正不正，作风实不实”突出问题，进行了对照检查和深刻反思，分析了原因，总结了经验;四是认真组织督查整改，完善规章制度。5月27日，室领导对警示教育活动的开展状况进行了督查，对工作中出现的新状况、新问题进行了及时纠正，对过去已有的各项规章制度，重新作了修订和完善，加强了监督制约机制，从各个方面、各个环节规范了办公秩序。

二、收获与体会

(一)透过警示教育活动，增强了党员干部的监督意识和法律观念。室机关党员领导干部纷纷表示，透过对《中国共产党领导干部廉洁从政准则》、《中国共产党党内监督条例》、《中国共产党纪律处分条例》等党纪条规的学习，使广大党员干部加深了对条例的理解，深刻地认识到《党内监督条例》是发展党内民-主、加强党内监督的重要法规。加强党内监督，是持续党的先进性，保障党员权利，巩固和建设社会主义事业的根本保证，加强监督是党中央对党员干部的严格要求和关心爱护，使干部少犯错误。透过学习，把握了党内监督的资料、程序和方法。切实增强了监督和理解监督的意识。《纪律处分条例》是我们党维护党的章程和党内法规，严肃党的纪律、纯洁党的组织、教育党员遵纪守法，维护党的团结统一的保证。是党的路线、方针、政策、决议和国家法律法规执行的保证。透过学习，认识到领导干部要时刻严格要求自我，要身体力行、模范遵守党纪国法和廉洁自律的要求，进一步明确了只有按“规矩”办事，才能做到防微杜渐，警钟长鸣。

(二)透过警示教育活动，提高了领导干部的拒腐防变潜力。透过对案件警示教育片以及警示教育读本的观看和学习，认真剖析这些严重违法违纪案例所造成的多方面严重危害，使每位党员干部思想受到极大的震动，从中吸取沉痛教训，深刻认识到警示教育的重要性;深刻认识到领导干部的作风关系到机关作风，关系到党史事业的长远发展。前车之辙，后车之鉴，透过这次警示教育，使党员干部提高了警惕，增强了拒腐防变潜力，牢固树立了马克思主义的世界观、人生观、价值观和权力观、地位观、利益观，大力弘扬求真务实精神，大兴求真务实之风，真正做到自重、自盛自警、自励。

(三)透过警示教育活动，坚定了党员干部廉洁从政的决心。透过对郑培民、汪洋湖和吴天祥等先进事迹材料的学习，进一步深化了党员干部廉洁自律教育。学习他们忠于职守、淡泊名利，一身正气、两袖清风，生命不息、奋斗不止的工作精神。做到立党为公、执政为民，永葆共产党员的先进性。党史研究室的每一位党员干部，只有胸怀党史事业的发展全局，牢记宗旨，真心实意的为湖北跨越式发展创造出良好的经济发展环境，努力做一名清正廉洁的干部，就会受到群众的拥护和爱戴，受到社会的认可和好评。 总之，此次反腐倡廉警示教育收获很大，效果显著。透过警示教育活动提高了广大领导干部思想道德素质，锻炼了党性，净化了心灵;增强了法制观念和纪律意识，增强了拒腐防变和求真务实的自觉性，进一步推进了党史研究室党风廉政建设和反腐-败工作，为推进我室各项工作更好更快发展作出用心的贡献。

Good morning, every teacher. It’s really a great honor to have this opportunity for an interview. And I hope I can make a good performance today, eventually enroll in this prestigious university in September.

First, let me introduce myself briefly. My name is Shirley Guo, which is Guoxueli in Chinese. I am 22 years old, born in Zichang country, Shaanxi Province. I’m studying at Xi’an jiaotong University. I major in e-commerce with a minor in law. In order to improve my English and master fundamental knowledge of computer application, I have passed CET6, the C++ language examination in the National computer Rank Examination Level2 and the database examination in the National computer Rank Examination Level3 with a ease. I always believe that one will easily lag behind unless he keeps on learning. The scholarships I have won during these years could certificate that I work hard.

I am very easy to get on with, so I have lots of friends. And I am optimistic for that I believe in the end thing will mend. Sometimes I prefer staying alone, reading, watching movies, listening to music or surfing the Internet.

As for why I choose to engage in postgraduate study, there are several reasons as follow. Firstly, I think further study is still urgent for me to realize self-value. It is necessary to seize any chance for self-development, especially in this competitive modern world. Secondly, Professor LIqi is the tops in e-commerce field. I am looking forward to following him to make a more foundation for future profession after two years study here. Thirdly, now the employment situation is serious. Maybe through postgraduate study, I could achieve a better position.

In a word, I’m eager to enroll in our school to proceed further.

20__年9月30日早晨7点，川洋公司全体员工共计72人在池总的带领下，坐上了驶向雁荡山的客车，开始了全天难忘的雁荡山之旅。

在中秋佳节之际，全体川洋家人欢聚一堂的同时，也丰富了员工的业余生活，增强了部门之间的沟通协作，让让川洋这个大家庭更加和谐，从而更好提升企业凝聚力。

整个行程中，72人的团队始终被一种和谐、温馨的氛围所笼罩。

抵达目的地后，一眼望去，千姿百态的山峰，摆出各种造型，向我们展示它的美。

正如沈括的一首《雁荡山诗词》所描写：“梦溪雁荡笔谈之，峡谷奇峰怪异姿。

带上想象力，继续向前走，看到山顶上有一座寺庙。

进了“观音洞”，大家都纷纷冲上去拜观音，希望能给家人带来平安。

接着又到小龙湫、卧龙谷，又印证了《雁荡山诗词》中：“巨石巍然生峭壁，龙湫秀美笑蛾眉”的景象。

接着最刺激的莫过于飞渡表演了，

在“灵峰”山下拍了集体合影。

雄奇泉瀑深幽洞，险峻天窗碧玉池。

海上名山多胜景，修身养性待何时?

2号下午共同抵达金峰峡谷进行漂流。

金峰峡谷漂流景区位于国家AAAAA级风景区千岛湖金峰乡朱峰源，是江南最具特色的峡谷漂流。

整个景区内可见处处山随水转，水绕山行，绿树成荫，蜂蝶相戏。

从漂流起点出发：穿越时光隧道的浪漫惬意，36米落差的飞瀑急流浪遏飞舟，沿林木成阴的水道跌宕起伏顺流直下，时而急流澎湃，飞艇冲浪;时而平缓如砥，泛艇戏水;无法言语的“刺激和释放的”感觉……各位同仁时而泛舟奋力前行，时

而驻足打起水仗，都沐浴在浪漫开心的山水之间!漂流结束后各位同仁回到酒店，共同合影以做纪念。

3日上午，大家共同坐上游船，前往千岛湖海拔最高的岛屿梅峰观岛。

梅峰观岛位于千岛湖中心湖区西端的状元半岛上，它以群岛星罗棋布、港湾纵横交错、生态环境绝佳而被确定为千岛湖的一级景点。

登上梅峰观景台，可以纵览300余座大小岛屿，是目前千岛湖登高揽胜的最佳处。

“不上梅峰观群岛，不识千岛真面目”，这是到过梅峰的中外游客对其群岛风光的一致赞誉。

之后大家共同前往蛇岛，先前往表演场地观看泰国红艺人表演、人蛇共舞等精彩节目后在岛上游览参观。

蛇岛原名五龙岛、岛上有四个蛇池。

蛇池内有水池、喷泉、土丘、灌木丛、洞穴、冬眠室等，放养了十几个品种的二三百条蛇，盘缠在草丛和树上的蛇群，有的争食斗殴，有的昂头吐信，使游人惊叹不已。

中午在游轮上共进午餐，大家在游赏湖光山色的同时彼此交流心得，增进感情，这次旅行给每个人留下的印象都十分深刻。

它让大家体会到了工作之外的那份亲情和感动，体会到大家是一个融洽的团队，体会到万千是一个温暖的大家庭，更让大家体会到公司组织这次旅行的良苦用心。

下午乘坐客车回到公司，千岛湖之旅结束了，仔细回味这段旅行的同时，又要开始筹备新一轮的工作。

相信每个人都会以更充沛的精力，更高涨的热情投入到工作当中。

为万千贡献自己的力量，共同建设这个大家庭，因为，我们都是一家人。
