国际专利许可合同(附英文译本)

3.5 甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6 若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

Chaohu scenic spot is a national key scenic spot, mainly includingZhongmiao, Laoshan and Yinping mountain. It was renamed "Chaohu Temple" and "SHENGFEI Temple". After seeing thesecond ancient of Laoshan, you must want to know the third ancient boat pond ofLaoshan. This ancient boat pond is the harbor surrounded by huge stones that hitone or two kilos. There are two harbors like this. Do you know why? Because ofthe southeast wind in the first half of the year and the northwest wind in thesecond half of the year, two boat ponds were built. It is the warship haven ofChaohu Navy.

来到西双版纳的第二天，我们去了望天树景区。这里长满了高耸入云、直插云霄的望天树。我们排了一个多小时的队，来到了又粗又壮的望天树空中走廊。这个走廊离地面大约三、四十米高，只用大概二三十厘米宽的竹板连成桥，两边用绳子编的网作为防护。走在上面摇摇晃晃的，一阵风吹来，上面的人都随风摇摆，走得我胆颤心惊，冷汗直流。我听从妈妈的指导，双眼直视往前方看，两手紧紧抓住两边的绳子。偶然低头看下去，刚才走过的山间小道像细细的飘带，弯弯曲曲的向上蜿蜒。上面一个个蚕豆大的黑点就是一个个在小路上行走的游人。

第二天我们又来到了西双版纳原始森林公园。这里最有名的景点就是孔雀山庄的孔雀南飞活动。时间一到，下面穿着傣族服饰的姐姐吹起哨子，一只只美丽的孔雀就从北面高处的空中花园飞了下来，蓝的、绿的、灰的，最引人注目是几只浑身雪白的白孔雀，拖着洁白无瑕的长尾巴，姿态优雅地从河面缓缓飞过，落到了南面的岸边。这几百只颜色亮丽的孔雀引来了游客们的阵阵惊叹，闪光灯此起彼伏。我也拿起手机，把这令人惊叹的一幕永远地保存下来。

美丽的西双版纳，“理想而神奇的乐土”，真是令人流连忘返呀!

二、租赁费及有关条件：

1.租赁费总额： （大写： ）租赁期自提单之日起算，自租赁期起算日起满 个月的当天为第一次支付日，以后每满 个月支付1次，共支付次，即租赁期结束。

2.其他有关费用，如本合同附表《 估价单》所列。

3.在本合同生效日后30天内，甲方将按照租赁业务和国际贸易习惯做法，代表乙方签定租赁合同。该租赁合同生效后，甲乙双方均有履行该合同的责任和义务。

三、租赁物件交接：

1.租赁物件装船后，甲方应适时向乙方发出“到货通知”，并负责在到货后代办进口许可、报关、保险、提货、托运等有关手续，所需费用由乙方承担。

2.乙方接货后，应立即在商检部门的督导下开箱检验。检验无讹后，即可安装使用。如检验结果与合同及其附件规定不符，应立即申请商检部门检验并出具商检证书，最迟应在合同规定的索赔期到期日10天前，通知甲方对外提出索赔。

四、费用结算办法：

（1）本合同附表所列国内外费用系估算额，实际支付时，按附表说明事项办理。

（2）有关各期租赁费的结算办法，乙方应在甲方发出的付款通知规定的期限内，将本期应支付租赁费划拨至甲方帐户。甲方在对外结算后，以原始发票金额为准开列结算清单，多退少补。倘乙方未能按期划拨，甲方将依据本合同通知银行向乙方开户行（ 帐号： ）托收。在此情况下，甲方按本期迟付额每月向乙方加收2％的滞纳金，不足一个月按一个月计算。

（3）本合同附表所列明的国内有关费用，系指乙方应向国内有关单位交纳的进口关税，进口工商税、港口、陆运杂费和银行费用等概算额。结算办法同本款第（1）（2）条。

（4）甲方代理费按租赁费总额的2％，于到货时一次性计收，不足5万美元的租赁项目，按2.5％计收，结算办法同本款第（2）条。

五、担保单位及责任：

为确保租赁合同的履行，甲、乙双方同意

为乙方的担保单位。担保单位有责任监督乙方按期执行合同并在乙方不能/无力支付租赁费及其他费用时，代乙方履行付款责任。

六、生效：

本合同正本一式二份，经甲、乙双方签章，并由乙方担保单位盖章担保后生效。副本按需要分送有关部门备查。第 号《租赁合同》和本合同所附第 号估价单为本合同不可分割的组成部分。

七、其他未尽事宜，由甲、乙双方协商解决。

It’s also regarded as the county of manners, and it is the hometown ofso many famous people. And another part of its history is that Tengchong is onetrade center of jade between China and Burma. So don’t forget to get a round tothe jade fair. I think you will feel interested.

The strong extravasations are the cause of thelandform of Tengchong. There is a lieder in Tengchong saying that:” Such a placeTengchong, nine in ten mountains have no peaks.” It’s very vivid, from that youcan see so many volcanoes are in Tengchong.
