电力行业上市公司投资决策及相关影响因素的实证研究

一、选题背景及其意义

投资是指个人或组织为了在未来获取收益而进行的资金投入及相应的资本形成过程。投资决策则是指公司在给定资本约束情况下对可能的投资项目进行有效选择，以使其投资收益最大。作为公司成长的主要因素和未来现金流量增长的重要基础，它将直接影响公司的融资决策，由此影响公司的经营风险、盈利水平以及资本市场对其经营业绩和发展前景的评价。因此，与筹资和股利分配相比较，投资决策是公司三大财务决策中最重要的决策。

近年来，我国经济保持快速增长，投资起到了重要的拉动作用，这也与企业投资决策的合理性密不可分。就企业自身而言，如果做出投资于超出或偏离自身的能力和成长机会，且净现值为负的非盈利项目的“过度投资”的决策,不仅会损害企业的价值，使大量资本沉淀在生产能力过剩而盈利能力恶化的领域，也会使我国的经济“过热”，从而引发能源和原材料的紧缺、产能过剩、经济结构扭曲、重复建设等一系列问题。而做出“投资不足”的决策，也将制约企业的发展，影响企业价值的实现。总体看来，投资过度及投资不足均属于投资决策中的不经济行为，轻则削弱企业成长能力，重者可能把企业拖入财务危机的泥潭。因此，在我国市场经济尚处于不成熟的阶段，自由现金流、公司股权结构不合理，公司治理结构不完善等相关因素都会影响企业投资决策，并成为制约我国上市公司质量提升和长期持续发展的主要因素。

就电力行业而言，电力工业是社会公共事业也是我国的基础性产业，具有自然垄断性。其发展速度受市场需求的制约，发展规模受经济发展水平的制约，电价受社会承受能力的制约。其项目投资具有占用资金巨大、影响期间长远的特点，所以投资决策恰当与否将对电力行业上市公司产生深远影响。由于电力行业的特殊性，使该行业上市公司的发展既具有机遇又面临挑战，因此，合理的投资决策有利于电力行业上市公司充分利用现有资源开发新项目，来提高其盈利水平、增强企业活力及实力，实施集团化发展战略。但投资决策的合理性又与公司的自由现金流和公司治理结构等因素密不可分，管理者可能会受经理层较好控制的自由现金流、股权集中度及股权性质等因素的影响，或者是以寻求在企业内最大范围的控制力私人收益最大化为目标，营造王国与势力投资等管理机会主义氛围，难免会引发因投资决策不当而导致的投资效率和经营绩效不断下降的现象。信息不对称性的存在，公司治理结构中的诸多因素不仅会影响公司治理成本也会影响公司的绩效及公司价值的实现。因此，电力行业上市公司投资行为的动机、影响因素及应对策略值得我们思考和研究。

本文的研究意义：首先对电力行业上市公司投资决策进行实证分析和研究具有理论价值，为电力行业上市公司今后的发展，提供一定的理论基础。其次，对电力行业上市公司进行实证分析及研究具有实践意义。能够有效地找到电力行业上市公司在对外投资决策中存在的问题，促进电力行业上市公司发展，为我国其他上市公司提供借鉴，从而提高投资效率，促进经济的持续和谐发展。再次，我国电力行业的上市公司大都由国有电力企业股份制改造而来,其典型特征是公司治理结构不完善，一些不利的相关因素都直接影响着电力行业上市公司投资决策的合理性。建立良好的公司治理机制不仅会促进电力行业上市公司做出合理的决策，也能对过度投资和投资不足的不经济行为有一定的制约作用。因此，基于此种原因, 研究我国电力行业上市公司在面对全球经济环境变迁、中国经济结构及相关政策调整以及电力行业经济管理体制改革等因素带来的外部环境的变化时,如何完善公司治理结构、合理决策、规范投资行为，就成为一个十分有实践意义的研究课题。

二、国内外研究动态

(一)国外研究动态简介：

早期的西方投资理论形成于 19 世纪 70 年代初到 20 世纪 50 年代末，这一时期的三种主要经济理论流派对投资理论的形成起到重要作用：一是以杰文斯(W.S.Jevons,1871)、庞巴维克(Eugen Bohm von Bawerk,1886)、维克塞尔(K.Wicksell,1896)、费雪(I.Fisher,1933)、奈特(F.Knight,1921)等人为代表的新古典主义的资本理论;二是以马歇尔(A.Marshall,1920)为代表的新古典主义的企业厂商理论;三是以克拉克(M.T.Clarke,1917)为代表的朴素加速器理论，之后经过Chenery(1952)和 Koyck(1954)等人的发展而成为西方最早的投资决策理论。20 世纪 60 年代初期乔根森(Jorgensen，1963，1966，1967，1971)将新古典生产函数引入企业投资函数中，承认资本和劳动投入之间替代的可能性，运用连续时间的动态最优模型来描述企业的投资行为，产生了新古典投资理论，标志着现代企业投资理论的形成。然而这一理论忽视了资本存量的调整成本。此后，Tobin(1969)提出了著名的 Q 理论，Q 常常被定义为：企业在金融市场上的市场价值与该企业现有资本存量重置成本之比。

另一方面，自 20 世纪 70 年代开始，委托代理理论、非对称信息理论、公司治理结构理论逐步运用于现代企业投资领域的研究，为投资理论的发展掀开了新的篇章。同时，也为上市公司投资行为及公司治理机制的研究提供了强有利的支持。具体理论如下：

1、委托代理理论

委托代理理论表明，代理冲突将导致企业投资行为的低效率，反映在企业投资领域就是各种非效率的投资决策，具体表现为投资不足和过度投资。

1976年詹森和麦克林(Jensen and Meckling 1976)在委托代理理论的前提下提出了著名的资产替代问题，阐释了股东与债权人之间的代理冲突可能会引起企业的投资不足，利率的增加、信贷配给或对投资或融资条件施加限制条件，会限制股东进行其投资项目的能力[1]。Myers (1977)分析了负债融资引起企业投资不足发生的可能性。他认为，企业对其所拥有的投资机会并非一定能够或一定愿意实际投入资金，在决定对其所拥有的投资项目是否进行资金投入时，企业的现有负债余额、现有负债的期间构成以及即将借入的新增负债额的多少是非常重要的影响因素。Shin and Kim(2019)发现拥有大量现金的企业比持有少量现金的企业容易做出非效率的投资决策，主要是因为企业投资决策时较高的代理本[2]。Lyandres and Zhdanov (2019)利用负债期限结构模型，阐释了投资不足效应以反映债权人——股东冲突对企业投资的影响。N. Moyen(2019)在动态随机框架下进行相关计算，并指出企业尽管可以充分利用税盾优势，但仍会发生投资不足问题[3]。

1986 年，詹森(Jensen)以股东和管理者存在非对称信息为假设，引入了投资决策中的过度投资问题。即面对自由现金流量时出现的管理层与股东的冲突及其带来的代理成本问题。
