就电力行业而言，电力工业是社会公共事业也是我国的基础性产业，具有自然垄断性。其发展速度受市场需求的制约，发展规模受经济发展水平的制约，电价受社会承受能力的制约。其项目投资具有占用资金巨大、影响期间长远的特点，所以投资决策恰当与否将对电力行业上市公司产生深远影响。由于电力行业的特殊性，使该行业上市公司的发展既具有机遇又面临挑战，因此，合理的投资决策有利于电力行业上市公司充分利用现有资源开发新项目，来提高其盈利水平、增强企业活力及实力，实施集团化发展战略。但投资决策的合理性又与公司的自由现金流和公司治理结构等因素密不可分，管理者可能会受经理层较好控制的自由现金流、股权集中度及股权性质等因素的影响，或者是以寻求在企业内最大范围的控制力私人收益最大化为目标，营造王国与势力投资等管理机会主义氛围，难免会引发因投资决策不当而导致的投资效率和经营绩效不断下降的现象。信息不对称性的存在，公司治理结构中的诸多因素不仅会影响公司治理成本也会影响公司的绩效及公司价值的实现。因此，电力行业上市公司投资行为的动机、影响因素及应对策略值得我们思考和研究。

本文的研究意义：首先对电力行业上市公司投资决策进行实证分析和研究具有理论价值，为电力行业上市公司今后的发展，提供一定的理论基础。其次，对电力行业上市公司进行实证分析及研究具有实践意义。能够有效地找到电力行业上市公司在对外投资决策中存在的问题，促进电力行业上市公司发展，为我国其他上市公司提供借鉴，从而提高投资效率，促进经济的持续和谐发展。再次，我国电力行业的上市公司大都由国有电力企业股份制改造而来,其典型特征是公司治理结构不完善，一些不利的相关因素都直接影响着电力行业上市公司投资决策的合理性。建立良好的公司治理机制不仅会促进电力行业上市公司做出合理的决策，也能对过度投资和投资不足的不经济行为有一定的制约作用。因此，基于此种原因, 研究我国电力行业上市公司在面对全球经济环境变迁、中国经济结构及相关政策调整以及电力行业经济管理体制改革等因素带来的外部环境的变化时,如何完善公司治理结构、合理决策、规范投资行为，就成为一个十分有实践意义的研究课题。

二、国内外研究动态

(一)国外研究动态简介：

早期的西方投资理论形成于 19 世纪 70 年代初到 20 世纪 50 年代末，这一时期的三种主要经济理论流派对投资理论的形成起到重要作用：一是以杰文斯(W.S.Jevons,1871)、庞巴维克(Eugen Bohm von Bawerk,1886)、维克塞尔(K.Wicksell,1896)、费雪(I.Fisher,1933)、奈特(F.Knight,1921)等人为代表的新古典主义的资本理论;二是以马歇尔(A.Marshall,1920)为代表的新古典主义的企业厂商理论;三是以克拉克(M.T.Clarke,1917)为代表的朴素加速器理论，之后经过Chenery(1952)和 Koyck(1954)等人的发展而成为西方最早的投资决策理论。20 世纪 60 年代初期乔根森(Jorgensen，1963，1966，1967，1971)将新古典生产函数引入企业投资函数中，承认资本和劳动投入之间替代的可能性，运用连续时间的动态最优模型来描述企业的投资行为，产生了新古典投资理论，标志着现代企业投资理论的形成。然而这一理论忽视了资本存量的调整成本。此后，Tobin(1969)提出了著名的 Q 理论，Q 常常被定义为：企业在金融市场上的市场价值与该企业现有资本存量重置成本之比。

另一方面，自 20 世纪 70 年代开始，委托代理理论、非对称信息理论、公司治理结构理论逐步运用于现代企业投资领域的研究，为投资理论的发展掀开了新的篇章。同时，也为上市公司投资行为及公司治理机制的研究提供了强有利的支持。具体理论如下：

1、委托代理理论

委托代理理论表明，代理冲突将导致企业投资行为的低效率，反映在企业投资领域就是各种非效率的投资决策，具体表现为投资不足和过度投资。

1976年詹森和麦克林(Jensen and Meckling 1976)在委托代理理论的前提下提出了著名的资产替代问题，阐释了股东与债权人之间的代理冲突可能会引起企业的投资不足，利率的增加、信贷配给或对投资或融资条件施加限制条件，会限制股东进行其投资项目的能力[1]。Myers (1977)分析了负债融资引起企业投资不足发生的可能性。他认为，企业对其所拥有的投资机会并非一定能够或一定愿意实际投入资金，在决定对其所拥有的投资项目是否进行资金投入时，企业的现有负债余额、现有负债的期间构成以及即将借入的新增负债额的多少是非常重要的影响因素。Shin and Kim(2019)发现拥有大量现金的企业比持有少量现金的企业容易做出非效率的投资决策，主要是因为企业投资决策时较高的代理本[2]。Lyandres and Zhdanov (2019)利用负债期限结构模型，阐释了投资不足效应以反映债权人——股东冲突对企业投资的影响。N. Moyen(2019)在动态随机框架下进行相关计算，并指出企业尽管可以充分利用税盾优势，但仍会发生投资不足问题[3]。

有关工程硕士专业学位研究生开题报告

为了保证工程硕士研究生学位论文的质量，特对开题报告制定以下要求。

一、学位论文选题应直接来源于生产实际或者具有明确的生产背景和应用价值，可侧重从以下几个方面选取：

①一个完整的工程项目策划、工程设计项目或技术改造项目；

②技术攻关研究专题；

③新工艺、新设备、新材料、新产品的研制与开发；

论文选题应具有一定的技术难度、先进性和工作量，能体现作者综合运用科学理论、方法和技术手段解决工程实际问题的能力。

工程硕士研究生在导师指导下结合所在企业目前的技术改造、技术革新、引进等技术难题或科研攻关项目。通过阅读文献资料、实际调查，进行初步的研究工作后，撰写“文献综述报告”和“开题报告”。

二、工程硕士在确定学位论文课题后，要写出选题报告。选题报告包括“文献综述”和“开题报告”两部分。文献阅读和选题工作一般从全部课程学习完成后进行。

三、写“文献综述”以前，要大量阅读与论文课题有关的学术论文。通过阅读文献，要掌握论文课题所在研究领域国内外的学术动态和发展前沿。

在文献阅读的基础上，撰写“文献综述”。内容包括：论文课题所在研究领域国内外的学术现状、前沿问题、发展趋势等，要对文献涉及的主要原理、技术和方法进行总结、归纳和述评。所阅读的文献目录要在附录中一一列出。

“文献综述”完成后，交导师评阅。导师要写出评语，导师认为综述报告不合格，要继续阅读文献，重新撰写。

四、在文献阅读和调研的基础上撰写“开题报告”。

“开题报告”应包括以下内容：

1、选题依据、课题来源、学术价值和对社会、经济发展和科技进步的意义；

3、拟解决的生产实际的主要问题和关键技术及难点、拟采取的技术路线、实施方案；

4可能出现的困难与问题及解决方法与措施；

5、预期达到的成果，可能取得的创新之处；

6、研究进程计划及时间安排，经费概算；

五、工程硕士完成“开题报告”后，交给导师审阅通过后，确定开题报告会议的时间和邀请的专家名单。

开题报告会议可以由导师主持，可设一秘书记录、整理会议材料。与会专家和其他参加人员可以提问、质询。报告会议后，工程硕士本人和其他与会人员退场，与会专家对开题报告进行评议。导师介绍工程硕士“文献综述”撰写情况，与会专家对选题进行评议、讨论，秘书汇总与会专家的评议和意见。会议以无记名投票方式对开题情况评分，按 “合格”本和“不合格”评分。最后，填写专家意见和评分，与会专家要签名。

六、 开题报告评为“不合格”者，可在一个月内再作一次。第二次仍为“不合格”者取消做论文的资格，按结业处理。

二、硕士学位论文开题报告的基本要求：

学位论文开题是硕士学位论文工作的基础，对论文后续工作有着重大影响。因此，各硕士研究生要认真对待开题工作，应就学位论文开题事宜积极与指导教师进行协商，并注意征询其他指导教师和同学的意见，严格按照硕士学位论文开题报告的要求，认真准备，为以后论文的顺利写作创造条件。

三、硕士生学位论文开题程序：

1、专家组组长宣布报告会开始;

2、硕士生陈述开题报告，时间不超过 20分钟;

3、专家提问，硕士生回答问题;

4、专家组组长评议与总结;

5、专家组评定成绩并在开题报告书上签字。

四、硕士生学位论文开题报告内容：

1、论文选题的目的、意义和研究动态：

(1)本选题的理论或应用价值;

(2)相关研究领域的现状和研究进展分析;

(3)本选题领域国内外研究成果简述;

(4)本选题的主要研究内容、重点和特点。

2、研究方案：

(1)实施方案所需的条件;

(4)可能遇到的困难及应对。

3、主要参考文献目录：

(1)较全面地列出对开题报告有参考价值的文献，及在开题报告中引用他人的学术观点或学术成果所涉及的文献;

(2)参考文献应按在开题报告中出现的顺序列出;

(3)参考文献的数量，硕士学位论文开题报告一般不得少于30篇;

(4)参考文献应能反映国内外新的学术成果，且一般应有1/2左右的外文文献。

五、硕士生学位论文开题报告评审标准：

成绩考核以通过、不通过记。

1、具备下列条件者，开题报告成绩为通过：

(1)选题恰当，有一定的理论或应用价值，有较高的起点和一定的新意;

(2)具有独立搜集和综合分析资料的基本能力，能掌握与本研究方向的国内外动态，学术思想清晰;

(3)研究方案基本可行，基本掌握技术关键，对可能遇到的主要问题，分析基本正确，开题条件基本具备;

(4)研究工作计划安排合理，经费预算可行;

(5)口头陈述流利、简练，并能较正确地回答专家的提问。

2、有下列问题之一者，开题报告成绩为不通过：

(1)选题不当，达不到研究生培养目标的要求;

(2)阅读的参考文献数量不足，水平不高，本人的综合分析能力较低;

(3)研究方法简单，研究措施不力，没有抓住关键;预期达到的研究目标过高或过低;

(4)开题条件不具备，研究计划安排不周;

(5)口头表述杂乱。
