沙逊大厦与中国银行大楼沙逊大厦因当时内部装修豪华被称为是“远东第一楼”。现在是和平饭店的北楼。外形象大写英文字母A。中国银行大楼是万国建筑博览中唯一一个中国人自己建造的大厦，他比沙逊大厦低60厘米，这还有一个故事。当被中国资本家觉得在外滩全是西方列强建造的形式各异的高楼，而且反映了各国列强的雄厚的经济实力，为了不让我们中国人丢脸面，于是中国官僚资本主义也决定造一个大楼，而且要造比其他国家的都要高，于是原计划要造34层，但是后来受沙逊大厦的业主也就是沙逊的阴挠，他说“你们们中国人是一点地位没有的，造的楼怎么可以比我们英国人的还要高呢?”于是打官司打到英国伦敦，结果大家是可想而知的，中国人败诉了，后来只能造成15层，比沙逊大厦低了60厘米。但是中国人还是不服气“上有政策下有对策”，你楼房不让我超过你，我在楼底上竖了两杆国旗，这两个棋杆比你们沙逊大厦高，这回你们应该没话讲了吧?所以我们现在看到的这两个棋杆就是鉴证。中国银行大厦外形有中为民族特色，楼底国角微翘，檐口用斗拱装饰。窗框是中国钱币的变形的形状。

凝固音乐的尾声是由东方汇理银行和上海大厦担当。

东方汇理银行为巴洛克式建筑，整幢大楼富有凹凸感，对比强烈。现在是上海市建筑保护单位。百老汇大厦具有现代主义风格是观赏黄浦江、外滩、浦东景色的最佳处，周总理曾经陪同不少外国元首和贵宾登临观光。20世纪90年代，连续获得涉外宾馆“十佳安全优胜单位”称号。

The Former Residence of Dr. Sun Yat-sen

Ladies and gentlemen,

Good morning! Speaking of Cuiheng Village, Chinese citizens will have a familiar and friendly feeling. It is because this village is the home town and birth place of the man behind Chinas first democratic revolution, Sun Yat-sen. It is located southeast of Nanlang Town, Zhongshan City. It is near the Pearl River to the east, while Qiao Island, Zhuhai City is directly opposite the village, across the South China Sea. Finally, Wugui Hill is directly west of Cuiheng Village. The village is now home not only to Sun Yat-sens former residence, but to a Sun Yat-sen monumental middle school and movie city as well, all of which are related to or named after the father of modern and democratic China .

Besides being rich in history, Cuiheng village is next to mountains and the sea. This good geographical setting and its exquisite natural environment make the villages inhabitants carefree and happy. While walking in the village or stepping onto the Cuishan road, one will feel like he/she is in a forest “paradise” of trees, flowers and birds. Even within the village, you can gaze at the distant hills and cliffs. The vegetation here is well protected, so the forest is verdant and luxuriantly green. Along the two sides of the Cuishan road, the dark green umbrage helps cool the air and provides Cuiheng village with a natural air-conditioner. Even during the sultry summers, you can enjoy the mountains cool breezes and green shade.

Sun Yat-sens former residence is located at the Cuiheng Village and faces west. The residence sits on a 500 square meter area site and is itself 340 square meters. Sun Yat-sen built it with the money sent from Honolulu by his elder brother Sun Mei in1892. We are now standing in front of Sun Yat-sens former residence. The building is a half-timber house and combines Western and Chinese architectural styles with a wall surrounding the courtyard. Its outward appearance imitates a Western building and its upper floor has seven ember ornamental arches. The middle of the houses penthouse is decorated with aureole under which there is an annotated hawk with a silver ring in its mouth. Going inside, we can see that the buildings interior is designed in traditional Chinese architectural style. The parquet is in the middle, while separate penthouses are off to two of the parquets sides. The four brick walls are grey with white line outlining every brick, and the windows each with two leaves open under the-main roof beam. There are doors at all the four sides of the house that lead out to the street. A well is off to the right side of the courtyard, and the area of about 32 square meters surrounding the well is the place where San Yat-sen was born on November 12,1866.

Now we are in the parquet of the former residence. The ornaments of the hall were decorated by Sun Yat-sen himself. Please look at the two kerosene burners put on the abutment; Sun Yat-sen brought them here from Honolulu in 1883. The penthouse off to the right is Sun Yat-sens bedroom. The bedroom still contains his big wooden bed, dresser table and the wooden bench. Sun Yat-sen lived here from 1892 t0 1895 and in 1912. Stepping up to the second floor, the south part of the floor has Sun Yat-sens study. Sun Yat-sens photo, taken when he was 17 years old, hangs on the wall. This study also has some of the things Sun Yat-sen used everyday, such as his desk, chair and iron bed.

Lets return to the courtyard. There is a wild jujube tree off to the left. It was brought by Sun from Honolulu in 1883 and he planted it himself. It grows well. Off to the right, there is a brick raised flowerbed.

孙中山故居位于南朗镇翠亨村，坐东向西，占地面积500平方米，建筑面积340平方米，是孙中山长兄孙眉1892年从檀香山汇款回来，由孙中山主持建成的。故居是一幢砖木结构、中西结合的两层楼房，并有一道围墙环绕着庭院。它的外表仿照西方建筑，楼房上层各有七个赭红色装饰性的拱门。屋檐正中饰有光环，换下雕绘一只口衔钱环的飞鹰。走进楼内，我们可以看到内部设计采用中国传统的建筑形式，中间是正厅，左右分两个耳房，四壁砖墙呈灰砖色，勾出白色间线，窗户在正梁下对开。居屋内前后左右均有门通向街外，左旋右转均可回到原来的起步点。在庭院右边有一口水井，水井周围（约32平方米）是孙中山诞生时的旧房所在地。1886年11月12日，孙中山诞生于此。

现在我们来到了故居的正厅，厅内摆设是孙中山亲自布置的。请看放置在桥台上的两盏煤油灯，这是1883年，孙中山从檀香山带回来的。右边的耳房是孙中山卧室，当年所用的大木床、梳牧台和凳子等，仍旧摆放着。1892 ——1895年、1912年，孙中山都曾在此住过。走上二楼，南边是孙中山的书房，墙上挂着孙中山十七岁时的照片，室内有孙中日常使用过得书桌、台椅、铁床。

回到故居庭院，庭院左边栽植一棵酸枣树，那是孙中山1883年从檀香山带回来种子亲手栽种的，生势茁壮茂盛，右边是砖砌的花台。

Function and Application of Descriptive Translation Studies

1 Introduction

The intention of this study is to explore possible advantages of Descriptive Translation Studies as in its application in translation practice and translation analysis.

Since early 20th century, translation studies gradually broke away from the marginal status within other related disciplines and established itself as an empirical science. From then on, schools of thought have kept coming out and each claims its legitimacy for existence. Among these schools is Descriptive Translation Studies (DTS).

DTS approaches translation from an empirical perspective. Translation is viewed to be a social activity having significant importance in the receiving culture and for the target community. Therefore, translation is dealt with beyond the linguistic realization and language comparison, and is incorporated in social and cultural context.

My attention was first directed to DTS by its peculiar characteristic of observation, description and explanation. The subject is whatever happens in translation practice, from the determination of prospective function of translation to the process of translator’s choice of strategies, brainstorming and the revision, to the final product making appearance in the target community.

The method of DTS is basically descriptive. The prescriptive tendency and the problem-solution pattern is abandoned. Translation phenomena are noted down. With accumulated data, some underlying truths about translation will come out which will prove to be instructive not only for theoretical probe but also for applied translation practice. I will apply this descriptive method in the case study of this thesis.

A convenient tool has been set up to conduct DTS. “Norm” is operative at every stage of description and explanation. Function, process and product and their relationship as well are skeletal structure of what constitute descriptive studies. Translation phenomena are accounted for with the help of norm.

The case taken in this thesis is the Chinese classic The Dream of Red Mansions. Two English versions translated respectively by Yang Hsien-yi and David Hawks are compared and observations are made in regard to their translation approaches.

In this regard, my observations are limited to several aspects, I hope in-depth observation and explanation will done in light of DTS.

As a child I often accompanied my father to his small coin shop and spenthours watching him work. When I was older, I sometimes set up displays, waitedon customers, and even balanced the books. This experience instilled in me thedesire to own and manage my own business someday, yet I understand that thebusiness world today is more complex. This complexity requires more education,and with that in mind, I am applying to the Master’s of Business Administrationprogram at Indiana University Bloomington (IUB).

In addition to my helping out in my father’s business, I have had numerousother work experiences that further enhance my qualifications for this program.My resume enumerates the various positions I have held at Kerasotes Theaters,Chili’s restaurants, and Indiana University’s new Student Recreational SportsCenter (SRSC), and what all of these positions have in common is an emphasis onserving the public effectively. Further, as an assistant manager at theShowplace 11 and a staff coordinator at the SRSC, I have gained valuableexpertise in managing employees and creating work schedules. Both of thesepositions have allowed me to develop my sales and people skills, which areextremely important in an increasingly service-driven marketplace.

Not all of my work experience has been as a paid employee. Part of myvolunteering experience at Middleway House, the local battered women’s shelter,involved extensive work on computers, including word processing, organizingdatabases and creating spreadsheets. Also, I recently participated in aninternship program for academic credit with the Eli Lilly corporation in thepersonnel division. As a management intern, I was able to watch the workings ofa major corporation up close and would like the opportunity to combine myexperiences with the theoretical background available in the MBA program at IUB,with its emphasis on computers, marketing and human resources.

My successful internship is one element of my overall academic success asan undergraduate here at IUB, yet I have also made time for a variety ofextracurricular activities, including working for my sorority and competing inintramural basketball. During mydays at Engineering College I used to go to my fathers office and help himmanage his portfolio of equities and other financial instruments. This was thetime I learnt the first lesson of finance from my father i.e. risk and returnare proportionate. In 1998 when I was in the second year the China stock marketcrashed. But fortunately， my father had a well-diversified portfolio because ofwhich our returns were protected from the downside risk. This was when I learntthe second principle of finance from my father i.e. diversification reducesrisk. While I understood these two principles intuitively， it produced in me astrong urge to learn and understand the complex theory behind the working ofFinance. This， I believe， was a turning point in my career. I made up my mind topursue a career in Finance and hence decided to do a Masters program in BusinessAdministration.

As I was finishing college， my mother had both of her hips replaced withartificial ones because all of the cartilage in her hip joints had worn away andit was very painful for her to walk. I found it fascinating that engineers，orthopedic surgeons， and biologists had all worked together to design theseartificial joints that completely transform. peoples lives by giving them backpain-free mobility， and I knew at that moment that this was an area about whichI wanted to learn more. In China these days， university graduates who have notbeen lucky enough to settle into their dream jobs often look to graduatedstudies as a way to kill the time that they cannot otherwise spend meaningfully.I am prepared to go against the social conventions by putting on hold asuccessful research career that promised to be even more successful. definitions,applicable languages and laws词语定义, 适用语言和法规

article 1  the following words and expressions shall havethe meanings assigned to them except where the context otherwise requires:

第一条 下列名词和用语，除上下文另有规定外，具有如下所赋予的含义:

(1)          "project" means the projectfor which the supervision services are to be provided.

"工程" 是指实施委托人委托监理人监理的工程。

(2)          "client" means the party whois responsible for the direct investment and who employs the supervisor, andlegal successors to the client.

"委托人"是指承担直接投资责任和委托监理人的一方,以及其合法继承人。

(3)     "supervisor" means the party whois employed by the client to perform supervision services and assumesupervision liabilities, and legal successors to the supervisor.

"监理人"是指受委托人委托承担监理业务和监理责任的一方,以及其合法继承人.

(4)                 "supervision team"means the group of staff sent by the supervisor to carry out supervision on thesite of the project.

"监理机构"是指监理人派驻本工程现场实施监理业务的组织.

(5)                 "chief supervisionengineer" means the person certificated by the local authority as  chief supervision engineer and designated bythe client and supervisor to be fully responsible for supervising the executionof the contract.

"总监理工程师"是指经当地政府部门认证为的总监理工程师并且由委托人及监理人指定对监督履行本合同全权负责的人.

(6)                 "contractor" meansthe person(s) other than the supervisor with whom the client signs contract inrelation to the construction of the project.

"承包人"是指除监理人以外,委托人就本工程的建设有关事宜签订合同的当事人.

(7)                 "normal services"means the scope of supervision work prescribed in the conditions of particular application.

"正常工作"是指双方在专用条件中约定的监理工作的范围.

(8)                 "additional services"means: 1) works outside of the scope of supervision work, and added to thecontract by written agreement of the parties; 2) additional works as a resultof addition to the scope of construction work or program delay on the part ofthe client or the contractor.

"附加工作"是指: 1)监理工作范围以外,通过双方书面协议另外增如本合同的工作;2)建设工作范围的增加或者由于委托人或承包人原因致使进度的延误,而造成的附加的工作.

(9)                 "exceptionalservices" means the works other than the normal services and theadditional services, but which are necessarily performed by the supervisor inaccordance with article 33.

"额外工作"是指正常工作和附加工作以外，根据第三十三条规定监理人需要完成的工作。

(10)        "day" means the period betweenany one 0:00 a.m. and the next.

"日"是指任何一个零时至第二天零时的时间段.

(11)               "month" means a periodof one month according to the gregorian calendar commencing with any day of themonth.

"月"是指根据公历从一个月份中任何一天开始的一个月的时间段.

article2  this supervision contract shall begoverned by chinese laws, statutes, administrative regulations, anddepartmental rules & regulations, local laws, rules & regulationsspecified in the standard conditions and conditions of particular application.

第二条   本建设工程委托监理合同适用的法律是中国的法律，条例,行政法规，以及标准条件及专用条件中载明的部门规章或地方法规，地方规章。

article 3  the contract shall be written in both englishand chinese, both of which shall be equally binding.

第三条   本合同应以中文和英文记载，中英文应具有同等效力。

obligations of the supervisor监理人的义务

article 4 the supervisor shall designate the supervision team andsuperintendents necessary for carrying out the supervising works; provide tothe client a name-list of the chief supervision engineer, main staff of thesupervision team and a supervision plan and perform the supervision serviceswithin the scope of work as stated in the conditions of particular application.during the execution of the contract, the supervisor shall submit supervisionreport to the client at regular interval as stated in the contract.

第四条 监理人应派出监理工作需要的监理机构及监理人员，向委托人报送委派的总监理工程师及其监理机构主要成员名单，监理规划，完成监理合同专用条件中约定的监理工程范围内的监理业务。在履行本合同义务期间，应按合同约定定期向委托人报告监理工作。

article5  thesupervisor shall exercise reasonable care and diligence, provide advice at anappropriate level in the performance of the obligations under the contract tothe client and indemnify the lawful rights and interests of various parties.

第五条   监理人应认真，勤奋地工作，在履行合同义务时为委托人提供与其水平相应的咨询意见，公正维护各方的合法权益。

article6  any facilities and articles supplied by theclient for use by the supervisor shall be properly used and maintained andremain the property to the client . when the services are completed orterminated the supervisor shall deliver to the client such facilities andunconsumed articles in good working order.

第六条   监理人使用委托人提供的设施和物品属委托人的财产，应恰当使用和维护。在监理工作完成或中止时，应将其设施和剩余的物品完好地移交给委托人。

article7  during thecontract period or after the contract is terminated, without the consent of theclient, the supervisor shall not disclose the confidential information inrelation to the project and the contract.

第七条   合同期内或本合同终止后，未征得委托人同意，不得泄露与本工程和本 合同有关的保密信息。

obligationsof the client

委托人的义务

article 8  the client shall pay anadvance payment to the supervisor prior to the commencement of the services ofthe supervisor, if such advance  payment is stated in the conditions ofparticular application.

第八条       委托人在监理人开展监理业务之前应向监理人支付预付款,如果该预付款在专用条件中陈述。

article 9  the client shall beresponsible for all coordination of external relationships in relation to theconstruction of the project. if the client assigns part or all of suchcoordination works to the supervisor as is necessary, then the work to beassigned and relevant terms of remuneration shall be specified in thesupplemental clauses.

第九条       委托人应当负责本工程建设的所有外部关系的协调（监理人所属协调关系除外）。根据需要，如需将 部分或全部协调工作委托监理人承担，则需在补充条款中明确委托的工作和相应的报酬条款。

article 10  theclient shall, within the agreed time, provide to the supervisor free of chargeall information pertaining to the project and necessary for the supervisionservices.

第十条       委托人应当在双方约定的时间内免费向监理人提供与本工程有关的并为监理工作需要的所有信息。

article 11 on all matters properly referred to him in writing bythe supervisor, the client shall give his decision in writing within the timespecified in the conditions of particular application of the contract.

第十一条   委托人应当在专用条件约定的时间内就监理人向委托人以恰当的书面形式提交的一切事宜作出书面决定。

article 12  the client shall appoint aclients representative (to be specified in the conditions of particularapplication) who is familiar with the project and able to make decision withinspecified time for the purpose of contacting the supervisor. should theclients representative be replaced, the client shall notify the supervisor inadvance.

第十二条   委托人应当授权一名熟悉本工程情况，能在规定时间内作出决定的委托人的代表(将在专用条件中明确)负责与监理人联系，更换委托人代表要提前通知监理人。

article13  the client shall timely notify theawarded contractor, in writing, of the power of the supervisor, roles andauthorities of main staff of the supervisor. such information shall be madeclear in the contract signed by the client and any third party.

第十三条      委托人应当将授予监理人的监理权利，以及监理人主要成员的职能分工及监理权限及时书面通知已选定的合同承包商，并在与任何第三方签订的合同中予以明确。

article14  the client shall notify to contractorto provide the following information to the supervisor within such a time thatthe supervisors work will not be hampered:

第十四条      委托人应通知承包人在不影响监理人开展监理工作的时间内向监理人提供如 下资料：

(1)   listof suppliers & manufacturers of the raw materials, components and parts,mechanical equipment etc. to be used in the project;

与将用于本工程的原材料，构配件，机械设备等的供应和生产厂家名录；

(2)     list of coordinators, cooperators inrelation to the development of the project.

提供与本工程有关的协作人，配合人的名录。

article15  the client shall furnish free ofcharge (including utility fees ) to the supervisor the site office,telecommunication connection, accommodation and other facilities specified in the conditions of particular application.

第十五条      委托人应免费（包括使用费）向监理人提供办公场所、通讯接口，网路接口住宿及合同专用条件约定的其他设施。

article16  given certain circumstances, if thetwo parties agree that the client shallarrange at his own expense for the provision of other personnel to thesupervisor, such agreement shall be reflected in the conditions of particularapplication.

第十六条      根据情况需要，如经双方同意委托人将可以自费向监理人提供其他人员， 应在合同专用条件中予以反映。

rights of the supervisor

article 17  the supervisor should  havethe following rights within his scope of work. it is hereby understood that anyand all of the following activities shall also be considered as the obligationof the supervisor, who shall perform the following activities whenever it isneeded in order to ensure completion of the project in the best possible mannerand according to the relevant contractual documents and applicable laws:

第十七条      监理人在委托的工程范围内应具有以下权利， 而且在此双方确认任何如下活动也应作为监理人的义务，即其有义务在有必要的情况下为了以最好的方式并以符合全部合同文件和适用的法律的方式完成本项目的目的而进行如下活动。

(1) the right andobligation to make recommendations on the selection of the general contractor

(1)        选择工程总承包人的建议权和义务；

(2) the right andobligation to make recommendations on the selection of the sub-contractor

(2)        选择工程分包人的建议权和义务；

(3)the right and obligation to make recommendations to the client in the respectsof the project including project size, design standard, planning design,technological design and performance requirements.

(3)对工程建设有关事项包括工程规模、设计标准、规划设计、生产工艺设计和使用功能要求，向委托人的建议权和义务；

(4)the right and obligation to advise, in the principles of safety and optimum,the client on the technical problems in the design. if the design is found tobe not in conformity with the quality standards promulgated by the state orspecified in the design contract, the supervisor shall report to the client inwriting.

(4)对工程设计中的技术问题,按照安全和最优化的原则,有权利和义务向委托人提出建议.当发现工程设计不符合国家颁布的建设工程质量标准或设计合同约定的质量标准时,监理人应当书面报告委托人. 并提供处理方案

(5)the right and obligation to review the construction management plan and thetechnical proposal and to  makerecommendation to the client for changes that the contractor could implement toensure quality, on-time completion and cost reduction.

(5)对审查工程施工组织和技术方案, 按照保质量、保工期和降低成本的原则, 并就承包人有可能采取的变化监理人有权利和义务向委托人提出建议并提供处理意见.

(6)   conduct appropriate arrangement andco-ordination with relevant organisations, which can exert beneficial influenceto the development of the project. for all such matters the supervisor shallfirst report to the client in advance and seek the authority of the client tomake such arrangements and co-ordination.

(6)主持工程建设有关协作单位的组织协调, 对于所有协调项应当事先向委托人报告,并要求委托人授权以进行组织协调工作.

(7)   having obtained the consent of the client,the supervisor has the right to give command with regards to commencement,suspension and resumption of the works. but before doing so, he shall report tothe client.  the client’s representativewill be available for contacting in phone to discuss emergency and other matters.

(7)征得委托人同意,监理人有权发布开工令,停工令,复工令,但应当事先向委托人作出书面报告.委托人代表将可以随时电话联系到以就紧急情况和其他事宜与监理人进行研究.

(8)   right and obligation to check and inspect thematerials to be used in the project and quality of construction and to advisethe contractor immediately of any non-conformities. should the contractorcontinue to use the materials after the non-conformity has been identified,then the supervisor must advise the client that the contractor should stopusing them. for materials, components and parts, equipment that are not in conformitywith the design requirements, provisions of the construction contract andnational quality standards, the supervisor has the right to notify the clientthat the contractor should stop using them; for working sequence, divisionaland sub-divisional works that are not in conformity with relevant codes andquality standards, and construction operations that pose safety concerns, thesupervisor has the right to notify the client that the contractor should  stop and make corrections or redo the works.the contractor can resume construction only after he has received the workresumption command from the supervision team via the client..

(8)工程上使用的材料和施工质量的检验权和义务.发现不合格材料应通知承包方，如果承包人在接到通知后仍继续使用该不合格材料, 监理人必须及时通知委托人, 让承包人不得继续使用. 对于不符合设计要求和合同约定及国家质量标准的材料,构配件,设备, 监理人有义务通知委托人让承包人停止使用;对于不符合规范和质量标准的工序,分部分项工程和不安全的施工作业, 监理人有义务及时通知委托人，监理人有权让承包人停工整改,返工. 承包人只有通过委托人收到监理机构发出复工令后才能复工.

(9)rights and obligation to check, supervise the progress of theconstruction.  right to ratify that theactual completion is ahead or behind the completion date specified in theconstruction contract.

(9)工程施工进度的检查、监督权和义务，以及工程实际竣工日期提前或超过工程施工合同规定的竣工期限的签认权和义务；

(10)right and obligation to check and certify by signature that the payment to theconstruction contractor is within the scope of the construction contract, torecheck, confirm, and negate to the settlement of the accounts. without thesignature and confirmation from the chief supervision engineer, the client willnot make payment to the construction contractor.

(10)在工程施工合同约定的工程价格范围内，工程款支付的审核和签认权和义务，以及工程结算的复核确认权与否定权。未经总监理工程师签字确认，委托人不支付工程款。

article 18 during supervision, if theemployee(s) of the contractor is found to be incapable of his job, thesupervision team shall notify the client of the views of the supervision teamon this matter.

第十八条在监理过程中如发现工程承包人员工作不力, 监理机构应将其对此事的观点告知委托人.

article 19 within the scope of work,if the client and the contractor have any dissent and requirement (includingclaim) to each other, and where such dispute is being mediated by an administrativedepartment in charge of construction or being arbitrated by arbitration body(china international economic and trade arbitration commission, shanghai), thesupervisor shall provide relevant proof.

第十九条 在委托的工程范围内，当委托人和承包人对对方有任何意见和要求(包括索赔要求),双方争议由政府建设行政主管部门调解或仲裁机关（中国国际经济贸易仲裁委员会－上海[h1] ）仲裁时，监理人应当提供相关证明。

article20  the client has the right to appointthe  contractor and enter into a contractwith that contractor.

第二十条      委托人有选定工程承包人，以及与其签订合同的权利。

article21  the client has the right to decidethe project size and agree the design standard, planning design, technologicaldesign and designed performance requirements; and the right to approveconstruction cost, programme and design variation.

第二十一条         委托人享有对工程规模、设计标准，规划设计、生产工艺设计 和设计使用功能要求的认定权，以及对工程造价、进度计划和设计变更的审批权。

article 22  in the event that the supervisor want to replace the chief supervisionengineer, he shall obtain the client’s consent in advance during the contractconducting period.

第二十二条         在履行本合同期间,监理人调换总监理工程师须事先经委托人同意。

article23  the client has the right to requirethe supervisor to submit  supervisionreport and specific report in each discipline within the supervisor’s scope ofwork..

第二十三条 委托人有权要求监理人提交监理工作报告及监理人业务范围内的专项报告。

article 24  in the event that the client find the supervisor’s staff fails to performduties under the contract, or cause any loss to the project or the clientthrough collusion with the contractor, the client shall be entitled to requirethat such staff be replaced by the supervisor or even terminate the contractand demand the supervisor to assume responsibilities or contiguousresponsibilities in paying compensation.

第二十四条 当委托人发现监理人的职员不按本合同履行监理职责，或与承包人串通给本工程或委托人造成任何损失的，委托人有权要求监理人更换该职员，直到终止合同并要求监理人承担相应的赔偿责任或连带赔偿责任。

liabilities of the supervisor监理人的责任

article25  the supervisor’s liability period isthe valid period of the contract (contract period), including the maintenanceperiod. in the event that the project programme is postponed or delay whichresults in the contract period to be extended, the two parties shall makefurther negotiation to agree an extension of the contract period.

第二十五条         监理人的责任期即本合同有效期（合同期），包括维护期。如果因工程进度的推迟或延误而导致合同期将要延长，双方应进一步协商约定的延长合同期。

article26  the supervisor shall perform hisduties during the contract period. should any financial loss be caused by thefault of the supervisor, he shall pay compensation to the client. accumulatedamount of compensation (except for the compensation specified in article 24)shall not exceed the total payment by the client to the supervisor (excludingincome tax).

第二十六条         监理人在合同期内，应当履行约定的责任。如果因监理人过失而造成了委托人的任何经济损失，其应当向委托人赔偿。累计赔偿总额（除第二十四条规定的赔偿以外）不应超过委托人向监理人支付的报酬总数（除去税金）。赔偿按相关法律执行[h2]

article27  the supervisor shall be notresponsible for any contractor’s nonconformity in quality requirements andcompletion time (for submitting drawings or delivery of goods). in the event ofany force majeure which cause part or all of the execution of the contract tobe impossible, the supervisor shall not be held responsible. but for anyinfringement to article 5, the supervisor shall pay compensation to the client.

第二十七条         监理人对承包人违反施工合同规定的质量要求和完工(交图、交 货)时限，因监理人失责应承担相应的责任，因不可抗力导致本合同不能全部或部分履行，监理人不承担责任。但对违反第五条规定引起的与之有关的事宜，应向委托人承担赔偿责任。

article28  if the claim made by the supervisorto the client cannot be justified, the supervisor shall be responsible for anycost incurred by the client in relation to the claim.

第二十八条       监理人向委托人提出赔偿要求不能成立时，监理人应当补偿由 于该索赔所导致委托人的任何费用支出。

liabilities of the client委托人的责任

article29  the client shall carry out his dutiesas stated in the contract. the client shallbe liable to the supervisor if a breach of his duty to the supervisor isestablished against the client, and shall pay compensation for the supervisor’sdirect financial loss.

第二十九条 委托人应当履行本合同约定的义务，如有违反则应当承担违约责任，赔偿给监理人造成的直接经济损失。

article30 if the claim made by the client to thesupervisor cannot be justified, the client shall be responsible for any costincurred by the supervisor in relation to the claim.

第三十条 委托人如果向监理人提出赔偿的要求不能成立，则应当补偿由该索赔所引起的监理人的各种费用支出。

commencement, alteration and termination of the contract本合同的开始、变更与终止

article 31 if  the normal services are impeded or delayed bythe client or the contractor so as to incur additional services or increase theduration of the normal services, the supervisor shall timely inform the clientof the circumstances and probable effects. the time for completion of theservices shall be increased accordingly and the supervisor shall be remuneratedfor such additional services.

第三十一条  由于委托人或承包人的原因使正常的监理工作受到阻碍或延误，以致发生了附加工作或延长了正常监理工作的持续时间，则监理人应当将此情况与可能产生的影响及时通知委托人。完成监理业务的时间相应延长，并得到附加工作报酬。

article 32 if circumstances arise which make it legally or physically impossible forthe supervisor to perform in whole or in part the services in accordance withthe contract he shall promptly dispatch a notice to the client. the time forthe completion of the services shall be extended. when the services are resumed,a reasonable period not exceeding 42 days for resumption shall be added and theclient shall pay the supervisor as agreed between them.

第三十二条         如实际情况发生变化，使得监理人由于法律原因或实际原因不能根据本合同全部或部分执行监理业务时，监理人应当立即通知委托人。经委托人认可，该监理业务的完成时间应予延长。当恢复执行监理业务时，应当增加不超过42日的时间用于恢复执行监理业务，并按双方约定的数量支付监理报酬。

article 33 after the supervisorhas finalized the acceptance check or handover procedures with the client, andthe contractor has signed a defect liability agreement with the client, thesupervisor has received all the payments due from the client, this contractshall be deemed to come to an end, except for any clauses referring to theparties’ liabilities, which may be used, according to statute of limitationsstipulated by the law, for claiming compensation. as to liabilities during thedefect liability period, the two parties can make provisions in the conditionsof particular application.

第三十三条  监理人向委托人办理完竣工验收或工程移交手续，承包人和委托人已签订工程保修责任书，监理人收到所有监理报酬，本合同即终止，除了有关双方的责任的条款，其应可按照相关法律的时效期限用以索赔。保修期间的责任，双方在专用条件中约定。

article 34 if either party hereto wishes to alter or abandon thecontract, he shall notify the other party in 42-day advance. if loss is causedto the other party as a result of the abandonment of the contract, theresponsible party shall pay compensation except for circumstance where hisresponsibility can be remitted in accordance with laws.

第三十四条         当事人一方要求变更或解除合同时，应当在42[h3] 日前通知对方，因解除合同使另一方遭受损失的，除依法可以免除责任的外，应由责任方负责赔偿，

article 35 if the supervisor has not received a paying voucher within 30 days fromthe due date of payment and nor has he received any written explanation fromthe client, or the supervision services has been suspended for more than sixmonths, the supervisor can notify the client to terminate the contract. ifwithin 14 days from the date of notice the supervisor still has not receivedany response from the client, he can make further notice. if within 42 daysfrom the date of the second notice the supervisor still has not received anyresponse from the client, the supervisor can terminate the contract or suspendor continue suspending from performing all or part of his services at hisdiscretion. the client shall assume the responsibility for breach of contract.

第三十五条       监理人在应当获得监理报酬之日起30日内仍未收到支付单据，而委托人又未对监理人提出任何书面解释时，或根据第三十三条及三十四条已暂停执行监理业务时限超过六个月的，监理人可向委托人发出终止合同的通知，发出通知后14日内仍未得到委托人答复，可进一步发出终止合同的通知，如果第二份通知发出后42日内仍未得到委托人答复，可终止合同或自行暂停或继续暂停执行全部或部分监理业务。委托人承担违约责任。

article 36 if the supervisionservices are suspended or terminated due to causes not on the part of the supervisor, works required to resume services orpost-termination settlement works shall be deemed as exceptional services. theperformance of exceptional services shall entitle the supervisor to payment forperforming them.

第三十六条       监理人由于非自己的原因而暂停或终止执行监理业务，不可抗力除外，其善后工作以及恢复执行监理业务的工作致使监理工期延长，经委托人认可，应当视为额外工作，有权得到额外的报酬。

article 37 if in the opinion of theclient that the supervisor is not discharging his rights without justifiablereasons, he can inform the supervisor of such opinion. if within 21 days from the date of notice the client has not receivedany response from the supervisor, he can, within 35 days from the date of thefirst notice, inform the supervisor by notice to terminate the contract. thesupervisor shall assume the responsibility for breach of contract.

第三十七条       当委托人认为监理人无正当理由而又未履行监理义务时，可向监理人发出指明其未履行义务的通知。若委托人发出通知后21日内没有收到答复，可在第一个通知发出后35日内发出终止委托监理合同的通知，合同即行终止。监理人承担违约责任。

article 38 termination of the contract shall not prejudice or affectthe accrued rights and liabilities of the parties.

第三十八条       合同协议的终止并不影响各方应有的权利和应当承担的责任。

payment监理报酬

article 39  the remuneration for normal services,additional services and exceptional services shall be calculated in accordancewith article 9 of the conditions of particular application. the client shallpay the supervisor in accordance with the time and amount stated in thecontract.

第三十九条 正常工作、附加工作和额外工作的报酬，按照监理合同专用条件中第九条的方法计算，并按约定的时间和数额支付。

article 40  if the supervisor does not receive payment within the time specified heshall be paid compensation calculated from the last day of the specified payingperiod.

第四十条   如果委托人在规定的支付期限内未支付监理报酬，自规定之日起，还应向监理人支付滞纳金。滞纳金从规定支付期限最后一日起计算。

article 41  the currency, exchange rate applicable to thecontract is that stated in the conditions of particular application.

第四十一条 本合同适用的货币币种、汇率在专用条件中陈述。

article 42  if any item or part of an item in a paymentapplication submitted by the supervisor is contested by the client, the clientshall give notice with reasons within 24urs from receiving the application andshall not delay payment on the remainder of the invoice.

第四十二条 如果委托人对监理人提交的支付通知中报酬或部分报酬项目提出异议，应当在收到支付通知书24内向监理人发出表示异议理由的通知，但委托人不得拖延其他无异议报酬项目的支付。

article 43 under the consent of theclient, cost necessarily incurred by the supervisor for visits to cities otherthan shanghai on investigation purpose, testing of materials and equipment canbe reimbursed by the client, within the budget scope, as it actually happens.

第四十三条         委托人根据建设工程需要邀请的建设工程监理所必要的监理人员出外考察、材料设备复试，其费用支出经委托人同意的，在预算范围内向委托人实报实销。

article 44  within the scope of supervision services, if expert is needed to beemployed for consulting or assistance purposes, the supervisor shall bear suchcost when the expert is employed by him, the client shall bear such cost whenthe expert is employed by him.

第四十四条       在监理业务范围内，如需聘用专家咨询或协助，由监理人聘用的，其费用由监理人承担；在监理业务范围外由委托人聘用的，其费用由委托人承担。

article 45 if profit is generated forthe client as a result of recommendations made by the supervisor, the clientmay give bonus to the supervisor.

第四十五条       监理人在监理工作过程中提出的合理化建议，使委托人得到了经济效益，委托人在可以给予监理人经济奖励。

article 46 the on-site supervisionteam or its staff shall not accept any remuneration or money provided by thecontractor.

第四十六条       监理人驻地监理机构及其职员不得接受监理工程项目施工承包人的任何报酬或者经济利益。

the supervisor shall not take part inany activity that may have conflict with the interests of the client and withthe work to be performed according to this contract.

监理人不得参与可能与合同规定的与委托人的利益相冲突的任何活动。

article 47  the supervisor shall notdisclose any information that is declared by the client to be confidential. thesupervisor shall not disclose any information provided and declared to be confidentialby the designer or the contractor either.

第四十七条     监理人不得泄露委托人申明的秘密，监理人亦不得泄露设计人、 承包人等提供并申明的秘密。

article48  the supervisorretains copyright of all documents prepared by him.  the client shall be entitled to use them orcopy them only for the project.

第四十八条       监理人对于由其编制的所有文件拥有版权，委托人仅有权为本工程使用或复制此类文件。

settlement ofdisputes争议的解决

article 49  anyclaim for loss or damage arising out of breach or termination of the contractshall be agreed between the client and the supervisor or failing agreement shallbe referred to a governmental department in charge of construction formediation. if agreement still cannot be reached, the dispute shall be referredto the arbitration body agreed by the parties or start a prosecution in thepeople’s court.

第四十九条     因违反或终止合同而引起的对对方损失和损害的赔偿，双方应当协商解决，如未能达成一致，可提交主管部门协调，如仍未能达成一致时，根据双方约定提交仲裁机关仲裁，或向人民法院起诉。

article 2 the scope of supervision

第二条 监理工作内容

tosupervise the construction quality, progress, contract, and project information,to coordinate between the client and the general contractor, and to urge thegeneral contractor to construct in a safety and civilized manner. the detail ofthe supervision service is the follows,

负责本项目的建筑质量、进度、合同、项目信息管理，协调委托人与总承包方的关系，督促并检查施工单位安全文明施工, 监理工作具体有：

1. to assist the client to sign theconstruction contract

1.      协助委托人签订施工承包合同；

2. to assist the client and thecontractor to draw up the construction commencement report

2.      协助委托人与施工单位编写开工报告；

3. to organize the meeting on theconstruction drawing explanation and check

3.      组织设计交底与图纸会审；

4. to review the construction plan,scheme and the master schedule of the contractor

4.      审核承建单位提出的施工组织设计, 施工技术方案和施工进度计划；

5.to supervise the contractor to execute the construction contract and thenational technical and construction code, as well as the documents referred toat article 1 hereof, to deal with the contractor’s violation against theregulation or the code;

5.      对承建单位执行工程承包合同和国家工程技术规范标准，以及第一条所规定的文件的情况进行督促,检查,参与承包方违约事件的处理；

6.tocheck the list of the material and equipment of the contractor’s; to inspectthe raw material, semi-product, and parts which will be used in the project; toreject the disqualified material, parts and equipment against the constructioncontract and standard.

6.      审查承建单位提出的材料和设备清单, 对工程使用的原材料、半成品、构件、设备进行检查,有权拒绝使用不符合合同要求和标准规定的材料,构件,设备；

7.toinspect the construction progress and quality; to inspect and accept thedivisional, sub-divisional and concealed works; to evaluate the constructionprogress

7.      检查工程进度和施工质量,验收分部分项工程和各项隐蔽工程, 对工程进度进行评估。每周书面向委托人报告工程进度，每周组织召开施工例会。

8.toorganize the client, the designer and the contractor to handle the qualityaccident; to supervise the execution of the technical scheme for the qualityaccident; to inspect, accept and issue the certificate after the qualityaccident is settled.

8.      组织委托人、设计、施工单位处理工程质量事故并提供处理方案和责任划分方案, 监督质量事故技术处理方案的实施, 并对事故处理进行验收和签证；

9. to compile the supervisiondocuments and specifications for filing

9.      整理监理文件和技术档案资料；

10. to organize the designer and theconstruction contractor to pre-inspect and pre-accept for the constructioncompletion

10.  组织设计单位和施工单位进行工程竣工初步验收；

11. to assist the client to executethe completion acceptance.

11.  协助委托人进行竣工验收工作;

12. to submit the supervisionevaluation report for the project to the client .

12.  向委托人提交项目监理评估总结报告；

13.   to organize hse site service:safety strategy, site safety supervision, health control, security of site office.

article 3 external conditionsinclude: the client is responsible for all the public relations andcoordination for the project including the local government and authorities

第三条   外部条件包括：委托人负责本工程建设的所有包括政府等在内的外部关系的协调；

article 4 project informationrequested by the supervisor should be provided by the client, where it isavailable, shall be issued beforehand.

第四条   对于监理人让委托人提供的工程资料，如果有，应事先提供。

article 5 on all matters properly referredto him in writing by the supervisor, the client shall give his decision inwriting within 5 days.

第五条   委托人应在5天内对监理人适当地书面提交并要求其作出决定的事宜作出书面答复。

article 6 the clientsrepresentatives are        。

article 7 during the contract period, the client shall at his own cost provide, orarrange for the provision by others, of personnel to work within the client’sown site team.   the supervision teamshall co-operate with the client’s own team but shall not be responsible forthem or their performance or rely on them or their performance for any of theservices for which the supervisor is responsible.

第七条            在合同期间，委托人应自费提供或安排其他方提供人员组成委托人的现场工作组。监理机构应与委托人的现场工作组合作，但不对他们及其行为负责，也不依靠他们及他们的行为来开展监理人负责的工作。

第八条            监理人派驻现场的监理人员数量和人员资质，必须符合双方商定的人员表和分阶段专业人员进场计划表的规定。根据各阶段实际施工需要，监理人有义务根据委托人要求，在人员表人员的范围内调整和增加人员。委托人有权根据专业人员进场计划表进行人员资质检查和出勤考核。如发现有不符资质及缺员情况，将斟情扣发监理人报酬。

article 9 the supervisor agrees topay compensation if he fails to discharge his duties, [accumulated amount ofcompensation shall not exceed the total payment by the client to the supervisor(bar income tax ), except for the compensation specified in article 24 ofstandard conditions.

compensation fee =the direct loss xthe supervision fee’s charge rate (bar income tax). the supervision fee’scharge rate is equal to total supervision fee divided by total cost of theproject.

第九条            内如果失职，同意赔偿损失[累计赔偿额不超过监理报酬总数（扣税），本合同标准条件

第二十四款规定赔偿的情况除外。赔偿金=直接经济损失*报酬比率（扣除税金）报酬比率为监理费和项目总造价的比率。

article 10 the client agrees to pay thesupervisor for his normal services in an amount calculated in the following wayand at the following time:

第十条 委托人同意按以下的计算方法、支付时间与金额，就监理人提供的正常监理工作支付其报酬：

1.the supervision service period: start from the day, on which the supervisioncommencement notice is issued from the client, and the supervision serviceperiod (interim) is eighteen months

监理服务期：按委托人通知监理服务开始日起算，监理服务期（暂定）为18个月。

2. the supervision fee: fixed lumpsum during the above-said supervision service period（18months）is 1,480,000 rmb yuan.

监理服务费：在监理服务期(18个月)内的固定总价为： 148.0万元。

3. payment method:

支付时间与金额

1) the client should pay to the supervisor 15% of the fixed lumpsum within one week as of the signature date of this supervision contract.

1）合同签定日后一周内委托人向监理人支付监理费总价的15%；

2) then, the client shouldpay the supervisor another 15% of the fixed lump sum every two months (90days), and the number of the payment times is three (i.e. 75% of the fixed lumpsum fee).

2）随后,每三个月（90天），委托人向监理人另支付监理费总价的15%，共5次（计为监理费总价的75%）。

4) the client should paythe supervisor final 10% of the fixed lump sum within one week after theproject passes the completion acceptance examination.

4）工程竣工验收合格后一周内委托人向监理人支付最后的监理费总价的10%

4. the service fee beyond the above-said supervision service period:if the supervision service is beyond 18 months, the client will, on the monthlybase, pay the supervisor at the sum of 82,000 rmb yuan/month.

4. 监理服务期延长期的服务费用: 如果监理服务超过18个月，委托人要按工程内容和现场监理工作要求，合理支付费用，延长期监理费用由双方商定。

第十二条             奖励办法：由双方协商解决

2.1 areas not included in the design consultant’s scope of work are external building works, civil and structural engineering, external landscape, mechanical and electrical engineering, plumbing & air conditioning engineering, quantity surveying & computer 3d animation.

2.2 while the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘practical completion certificate’ to the contractor if any.

3.0 fees 费用

the fee for the conceptual design phase through project construction phase shall be charged based on unit rate us dollar per square foot and designable area of square foot. the lump sum of us dollars: dollars only (excluding any local governing withholding taxes). the fee shall be payable by the client as addressed below in the payment schedule.

4.0 terms of payment 支付条款

4.3 payments for additional services and for reimbursable expenses shall be made monthly upon presentation of design consultants statement of services rendered, or expenses incurred.

5.0 definition of services 服务的定义

5.1 conceptual design phase 概念性设计阶段

understanding of client’s need and formulation of concept design for client’s approval. includes advising of the need for authority submissions and additional consultants where appropriate. concept illustrations will be prepared for the client’s understanding of the design intent. no detailing is done at this stage. subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

了解客户的需求，制作经客户同意的概念型设计。包括咨询相关管理当局和其他合适的咨询顾问的需求。概念插图是为客户理解设计意图而准备的。该阶段不进行任何细节设计。在客户批准概念性设计后的后续变更应该被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。

5.2 design development phase 深化设计阶段

development of the approved concept design for client’s approval. includes preparation of working drawings for construction, and selection of materials and finishes.

对经客户批准的概念性设计进行深化。包括为建设施工用的工作图纸的准备，材料和饰面的选择。

appointed consultants shall be coordinated to produce a complete design.

制定顾问应协调制作出一个完整的设计。

necessary detailing will be produced at this stage. 必要的细节设计将在该阶段完成。

project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.

adjusted project fee shall propose by design consultant in the ‘fee amendment schedule’ upon client’s request for project fee increment.

relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.

any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

5.4 construction phase建设施工阶段

implementation of the approved design. 经批准同意的设计的实施

design consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.

the design consultant shall provide final inspection and a practical completion certificate shall be awarded upon consultant’s satisfaction that all works has been completed accordance to approved drawings.

changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.

in addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.

6.0 amendment of approved drawings by design consultant

设计终稿的变更

6.1 the design consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the design consultant. such changes shall be commuted to the client and no additional service charge shall be payable by the client. however additional cost incurred to labour and material shall be reimbursed by the client.

由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。

7.0 compensation for additional services 额外服务费用

7.1 for project representation beyond that is already mentioned, compensation shall be computed as follows: dollars per hour (s$100.00/hour)

对于上述提到的额外服务的补偿费，应按每小时 元计算

7.2 this service shall be approved by client in writing before the design consultant provides such services.

设计方在提供额外服务前应获得客户事先的书面许可。

7.3 in cases which design consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.

8.0 reimbursable expenses 可补偿费用

8.1 reimbursable expenses are in addition to compensation for basic and additional services. it shall include cost incurred by the design consultant and its employees in the interest of the project, as identified in the following clauses.

可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。

8.2 expenses for all travel related cost including business class airfares with singapore airlines or equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.

包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。

8.3 expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.

客户要求的专业效果图纸和/或测绘模型的费用以及10%的手续费。

8.4 expense for courier services, postage and handling of drawings, specification and other documents.

快递服务费，图纸、说明书和其他相关文件的邮费及包装费

8.5 expense for colour prints or colour slides when requested by client.

客户要求的彩印或者彩色幻灯片费用。

8.6 professional fees and reimbursable expenses of supporting consultants.

辅助顾问的专业费用和可补偿费用。

8.7 documentation and lithography cost, and fees payable to authorities where relevant.

文件及印刷费用，以及支付给相关政府部门的费用。

8.8 site staffs appointed and will act under the direction of the relevant consultants. client shall reimburse the consultant all expenses incurred by such appointment.

任命工地人员且在相关顾问的指导下工作。客户应当补偿该顾问在此任命下发生的所有花费。

9.0 payment withheld 支付扣留

9.1 no deductions shall be made from design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the works other than those, which the design consultant has been found liable due to, be liable. the design consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the design development phase.

以下费用不得被抵扣：(1)设计方由于罚金、违约金而获得的赔偿金;(2)除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。

10.0 damage or destruction of works 工程毁损

10.1 if at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the design consultant, the client may require the design consultant to resume work on the project. the design consultant may do so upon notification in writing by the client. however, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.

在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。

11.0 care and diligence 谨慎勤勉义务

11.1 the design consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.

设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。

12.0 termination 合同终止

12.1 the obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.

如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。

12.2 the client upon may terminate this agreement not less than 14 days written notice to the design consultant in the event that the project is permanently abandoned. if the client abandons the project for 90 consecutive days, the design consultant may terminate the agreement by written notice.

如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。

12.3 the agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.

一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后14日内未能成功补救的，未违约方可以终止合同。

12.4 this contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.

一方进入破产程序(公司合并或者重组除外)后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。

12.5 in the event of any termination, the design consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. the design consultant shall submit his account for the balance of payment with 30 days of termination. the client shall pay all outstanding fees within 30 days upon the receipt of the account. a monthly interest of 1% is chargeable if payment due to the design consultant is not received after 30 days upon issuance of the final account.

合同终止事由发生时，客户须支付设计方包括可补偿费用以及合同终止费用在内的合同终止前发生的所有服务费用。设计方须提交合同终止30日前的收支帐户明细。客户须支付30日内帐户中列明的应付未付款项。最终账户确认后30日内没有付清的，设计方有权按每月1%收取利息。

13.0 opinion of cost 成本建议

13.1 as the design consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. the preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. however, the design consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. services to modify contract documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.

设计方不能控制由其他方提供的劳务、材料、设备和服务费用，以及施工方的定价方法和/或市场情况。初步的建设成本预估是基于经验和资历的，设计方熟悉建筑行业，代表有经验专业人员作出最好的判断。但是设计方并不确保其所做的预估一定与由相关方提供的实际的建筑成本或者服务费用相一致。在客户设立的限制下提供的修改施工成本合同文件服务将被视为附加服务，相关费用应以双方一致同意为准。

14.0 settlement of dispute 纠纷处理

本约定书的所有方面均应适用新加坡国的法律进行解释并受其约束。与本约定书有关的任何纠纷或争议，双方均可提交 进行仲裁;
